Terms & Conditions

These Terms and Conditions ("Terms") govern your use of the LotDesk mobile application and related services (the "Service") operated by ABDULLAH AL MORSHED NAYEEM ("we," "us," or "our"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using LotDesk in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Service.

2. Description of Service

LotDesk is a multi-tenant SaaS (Software as a Service) platform that provides:

• Inventory management with lot-based tracking
• FIFO (First In, First Out) cost allocation engine
• Order management and tracking
• Return and damage management
• Business analytics and profit/loss reporting
• Multi-user organization management with role-based access

3. Account Registration

3.1 Eligibility

You must be at least 13 years of age to create an account. By registering, you represent that you meet this requirement.

3.2 Account Security

• You are responsible for maintaining the confidentiality of your account credentials.
• You must provide accurate and complete registration information, including a valid phone number.
• Phone number verification via OTP is required before account creation.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately of any unauthorized use of your account.

3.3 Organization Accounts

When you register, an organization is automatically created with you as the Owner. You may invite other users as Admins or Staff members. As the Owner, you are responsible for managing your organization's data and member access.

4. Acceptable Use

You agree to use LotDesk only for lawful business purposes. You must not:

• Use the Service for any illegal or unauthorized purpose.
• Attempt to gain unauthorized access to other users' accounts or data.
• Interfere with or disrupt the Service or its infrastructure.
• Upload malicious content, viruses, or harmful code.
• Attempt to reverse engineer, decompile, or hack the Service.
• Use the Service to store or transmit content that violates any applicable law.
• Create multiple accounts to circumvent limitations or restrictions.

5. Data and Content

5.1 Your Data

You retain ownership of all business data you enter into LotDesk (products, orders, inventory, etc.). We do not claim ownership of your content.

5.2 License

By using the Service, you grant us a limited license to store, process, and display your data solely for the purpose of providing the Service to you.

5.3 Data Accuracy

You are responsible for the accuracy and completeness of the data you enter. We are not liable for business decisions made based on data entered into the system.

6. Service Tiers

6.1 Free Tier

The Free Tier provides access to core features with certain limitations on advanced features like detailed analytics reports.

6.2 Pro Tier

The Pro Tier unlocks advanced features including detailed analytics and reporting. Pro subscriptions are time-limited and will revert to the Free Tier upon expiration unless renewed.

6.3 LotDesk Pro Lifetime Access Policy

Any "Lifetime" plan, promotional grant, or lifetime feature pass activated for LotDesk Pro refers to the operational lifespan of the LotDesk platform. Pro lifetime features will remain activated and accessible for as long as LotDesk continues to operate, be maintained, and remain in business. In the event of a permanent closure, cessation of business operations, or service sunset by the company, lifetime access rights will conclude concurrently with the discontinuation of the Service.

6.4 Changes to Tiers

We reserve the right to modify features available in each tier. We will provide reasonable notice before making significant changes.

7. Intellectual Property

The LotDesk name, logo, software, and all associated visual design elements are the intellectual property of ABDULLAH AL MORSHED NAYEEM. You may not copy, modify, distribute, or create derivative works without our prior written consent.

8. Account Termination

8.1 By You

• App Deletion: You can deactivate your account from the mobile app. Your data will be retained in a deactivated state.
• Permanent Deletion: You can permanently delete your account and all associated data through our web account deletion page. This action is irreversible.

8.2 By Us

We reserve the right to suspend or terminate your account if you:

• Violate these Terms.
• Engage in fraudulent or illegal activity.
• Abuse the Service or its resources.

We will make reasonable efforts to notify you before account termination, except in cases of severe violations.

9. Service Availability

We strive to provide uninterrupted access to the Service but do not guarantee 100% uptime. The Service may be temporarily unavailable due to:

• Scheduled maintenance
• System updates and improvements
• Circumstances beyond our reasonable control (force majeure)

The Service is provided on an "as is" and "as available" basis.

10. Limitation of Liability

To the maximum extent permitted by applicable law:

• We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service.
• We are not liable for any loss of data, revenue, or business opportunities.
• Our total liability for any claims arising from the Service shall not exceed the amount you have paid us in the 12 months preceding the claim.
• We are not responsible for business decisions made based on analytics or data provided by the Service.

11. Disclaimer of Warranties

The Service is provided "as is" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Bangladesh. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Dhaka, Bangladesh.

13. Dispute Resolution

Before initiating any legal action, you agree to attempt to resolve disputes informally by contacting us at lotdeskbd@gmail.com. If informal resolution is not possible within 30 days, either party may pursue formal legal remedies under Bangladesh law.

14. Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated "Last Updated" date. Continued use of the Service after changes constitutes acceptance of the revised Terms.

For significant changes, we will attempt to notify you via in-app notification or email.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.
